VENDOR TERMS OF SERVICE

These Vendor Terms of Service ("Agreement") govern the relationship between Brand.usa-angel.com, operated by Angel Biz LLC, and the vendor ("Vendor") who registers and participates in selling products through Brand.usa-angel.com. By registering as a Vendor, you agree to comply with these terms and conditions.
1. Eligibility & Registration
1.1. Vendors must provide accurate and complete business information, including business name, tax identification number, contact details, and banking information.
1.2. Angel Biz LLC reserves the right to approve or reject any Vendor application at its discretion.
1.3. Vendors must comply with all applicable federal, state, and local laws and regulations.
2. Product Listings & Compliance
2.1. Vendors must list only approved products that comply with Brand.usa-angel.com’s policies.
2.2. Products must not infringe on any third-party intellectual property rights or violate any laws.
2.3. Vendors are responsible for accurate product descriptions, images, and pricing.
2.4. Angel Biz LLC reserves the right to remove any product listing at its discretion.
3. Order Fulfillment & Shipping
3.1. Vendors must fulfill orders promptly and within the specified timeframe.
3.2. Vendors are responsible for packaging and shipping products in accordance with industry standards.
3.3. Vendors must provide tracking information for all shipments.
3.4. Late or unfulfilled orders may result in penalties, suspension, or termination of the vendor account.
4. Pricing, Payments & Fees
4.1. Vendors determine their own pricing, subject to competitive market standards.
4.2. Angel Biz LLC will process payments to Vendors based on completed and verified sales.
4.3. Payment terms, including disbursement schedules, will be outlined in the Vendor agreement.
4.4. Any applicable fees, including commission, platform fees, and transaction processing fees, will be deducted from Vendor payouts.
5. Returns, Refunds & Disputes
5.1. Vendors must adhere to Brand.usa-angel.com’s return and refund policies.
5.2. Vendors must handle customer complaints professionally and resolve disputes in a timely manner.
5.3. Angel Biz LLC reserves the right to issue refunds on behalf of Vendors if necessary.
5.4. Repeated customer complaints may result in penalties, suspension, or account termination.
6. Intellectual Property Rights
6.1. Vendors grant Angel Biz LLC a non-exclusive, worldwide license to use product images, descriptions, and trademarks for marketing and promotional purposes.
6.2. Vendors must have the legal right to sell and distribute listed products.
6.3. Any intellectual property disputes must be resolved by the Vendor at their own expense.
7. Compliance & Legal Obligations
7.1. Vendors must comply with all applicable consumer protection, safety, and data privacy laws.
7.2. Vendors must maintain accurate business licenses and required certifications.
7.3. Any fraudulent activity, misrepresentation, or violation of Brand.usa-angel.com’s policies may result in immediate termination of the vendor account.
8. Termination & Suspension
8.1. Angel Biz LLC reserves the right to terminate or suspend Vendor accounts at its discretion.
8.2. Vendors may terminate their participation by providing a 30-day written notice.
8.3. Upon termination, all outstanding payments and obligations must be settled.
9. Limitation of Liability
9.1. Angel Biz LLC shall not be liable for any direct, indirect, incidental, or consequential damages arising from Vendor’s use of the platform.
9.2. Vendors are responsible for any claims, liabilities, or legal actions arising from their products and business operations.
10. Modifications & Amendments
10.1. Angel Biz LLC reserves the right to modify these terms at any time.
10.2. Vendors will be notified of any significant changes, and continued use of the platform constitutes acceptance of the updated terms.
11. Governing Law & Dispute Resolution
11.1. This Agreement shall be governed by and construed under the laws of the State of Florida, USA.
11.2. Any disputes shall be resolved through arbitration in Orlando, Florida, in accordance with the American Arbitration Association (AAA) rules.
By registering as a Vendor on Brand.usa-angel.com, you acknowledge that you have read, understood, and agreed to these Terms of Service.
